Sands Corp. Completes the Exchange Offer of Its
Senior Notes
Las Vegas Sands Corp. announced
today that it has completed its offer to exchange
its outstanding $250 million of 6.375% Senior Notes
due 2015 for 6.375% Senior Notes due 2015 that have
been registered under the Securities Act of 1933,
as amended.
The exchange offer was made in order to satisfy
certain obligations of LVS contained in a Registration
Rights Agreement entered into by LVS when it issued
the 6.375% Senior Notes in February 2005. The exchange
offer expired at 5:00 p.m., New York City time,
on July 21, 2005. All of the outstanding 6.375%
Senior Notes due 2015 were tendered in the exchange
offer. The new notes are substantially identical
to the notes for which they were exchanged, except
that the new notes have been registered under the
Securities Act of 1933, as amended, and, as a result,
the transfer restrictions and registration rights
provisions applicable to the original notes do not
apply to the new notes.
